Notice of Full Revision of Terms of Service and Privacy Policy

BotShade's Terms of Service and Privacy Policy have been fully revised. The effective date of the new terms is July 27, 2026 (JST). From that date onward, we will ask you to confirm your consent to the new terms on the dashboard.

We are pleased to announce that we have fully revised our Terms of Service and Privacy Policy. This article explains the background of the revision, the main changes, the effective date, and our request for your consent.

Overview

To continue providing our Service and strengthen compliance with applicable laws, we have fully revised our Terms of Service and Privacy Policy. The new Terms of Service and Privacy Policy will take effect on July 27, 2026 (Monday). As this revision constitutes the initial effective version replacing the interim terms provided during the beta period, we have set a review period of approximately 14 days from the publication date of this article to the effective date. Please review the contents and feel free to contact us if you have any questions.

Background

Our previous Terms of Service and Privacy Policy were operated with a simplified structure suited to the beta period. As the Service continues to develop, we determined that a comprehensive restructuring of the Terms and Policy is necessary from the following perspectives:

  • The need to establish a framework for fees, cancellation, and payment
  • The need to align with consumer protection laws (Consumer Contract Act, revised Civil Code, etc.)
  • The need to clarify the rights relationship regarding data created by users
  • The need to transparently disclose the handling of AI input data in the AI feature (BotShader)
  • The need to disclose personal information handling in greater detail

Main Changes

The main changes in the new Terms of Service and Privacy Policy are as follows. Rather than presenting a diff, we summarize the key points. The full text can be found in the new Terms of Service and the new Privacy Policy.

1. Restructured overall document

We have restructured the previous 8-chapter format into a 15-chapter format that is standard for SaaS services. Items that were not previously codified — fees, cancellation, intellectual property, personal information handling, etc. — have been organized into independent chapters.

2. New chapter on Fees and Payment

In preparation for future paid features, we have codified the framework for pricing, payment methods, automatic renewal, consumption tax, handling of payment delays, and the rules for prior notification of fee changes. When fees change, we will notify users at least 30 days before the effective date, and changes will apply from the next renewal.

3. New chapter on Cancellation and Withdrawal

We have codified the timing of cancellation, the refund policy for unused periods, the data retention period after withdrawal (deletion 24 hours after withdrawal), and the procedure to request immediate deletion.

4. Clarified user content rights

We have made it explicit that the copyright of Bot settings, commands, response templates, and other content created and registered by users through BotShade continues to belong to the users. We use such content only to the extent necessary for providing, operating, and maintaining the Service.

5. New provisions on the use of the AI feature (BotShader)

When using BotShader, input voluntarily sent by users to the AI will be transmitted to third-party AI providers selected by us, to the extent necessary for generating responses. We do not use such input for training AI models under any circumstances. In addition, we have set out provisions on rights in AI outputs, warnings about hallucinations (content that differs from fact) that may appear in generated output, and requests for human verification in important decisions.

6. AI providers and location of AI model developers

In addition to DeepInfra, Inc. (United States), we have added OpenAI, L.L.C. (United States) and Anthropic, PBC (United States) as AI providers to whom we outsource BotShader inference processing. In providing BotShader, we use multiple models — including the GPT and Claude series — depending on the purpose. AI Input Data is processed on infrastructure located in the United States for all providers, and we select, as AI providers, entities that publicly commit to a policy of not using API inputs for training.

The models we adopt also include models whose developers are located outside of Japan (United States, People’s Republic of China, etc.). The list of AI providers, their locations, and target models are disclosed in the new Privacy Policy.

7. More detailed disclosure of personal information handling

Categories of information collected, purposes of use, third-party provision (including outsourcing to payment agents, AI providers, error monitoring services, etc.), retention period, procedures for requesting disclosure / correction / deletion, and how to withdraw consent are disclosed in detail in the new Privacy Policy. Fees for requests for disclosure and similar procedures are free of charge.

8. Damages liability scope revised to align with consumer protection

We revised our previous blanket exclusion — “not liable for any damages” — to a form that complies with the Consumer Contract Act. Except in cases of intentional misconduct or gross negligence on our part, in cases of ordinary negligence the cap on damages is set to the greater of (a) the fees paid by the user in the past 12 months, or (b) JPY 10,000. The cap does not apply where damages arise from our intentional misconduct or gross negligence.

9. Clarified boundary of responsibility for third-party services (Discord, etc.)

Since the Service integrates with third-party services such as Discord and Stripe, we have made it explicit that impacts arising from specification changes, outages, and terms-of-service changes of these third-party services are outside our scope of responsibility (except in cases of our intentional misconduct or gross negligence). We also clarify that consequences of violations of Discord’s Terms of Service or Community Guidelines by users’ Discord Bots (such as Bot suspension or server exclusion) are the user’s own responsibility. In addition, we have established a contact for claims related to content that infringes third-party rights (abuse@botshade.com).

10. New anti-social forces exclusion clause

We have newly established an industry-standard anti-social forces exclusion clause.

11. Clarified rules for future revisions

For future material changes to the Terms of Service or Privacy Policy, we will notify users at least 30 days before the effective date and, as necessary, re-obtain consent. This revision constitutes the initial effective version replacing the interim terms provided during the beta period, and since all users during the beta period have been using the Service free of charge, we have set the review period at approximately 14 days. Future revisions will follow the 30-day prior notification operation described above.

From the effective date of the new terms (July 27, 2026), we will display a consent confirmation screen for the new Terms of Service and Privacy Policy when you log in to the dashboard for the first time. Please review the contents and check the consent box.

Even if you do not consent, dashboard use will not be immediately affected for the time being; however, you cannot use the Service without consenting to the new terms. We would appreciate your review and consent as soon as possible.

If you do not consent to the content of the new Terms of Service or Privacy Policy, you may cease using the Service and complete the withdrawal procedure by the effective date. You may perform the withdrawal procedure yourself at any time from the settings screen of the dashboard.
